According to recent filings with the SEC, Intellivision have created a new LLC in Delaware. The filings are related to Fig Publishing Inc. and notes at the bottom of the document:
On January 21, 2022, the Company entered into an assignment agreement with Intellivision Holdings, LLC, a California Limited Liability Company, which is the developer of the Amico and is subject to that certain revenue share agreement associated with Fig Gaming Shares –Amico, whereby the revenue share rights became an obligation of Intellivision Entertainment, Inc., a Delaware corporation and corporate successor.
A quick search of corporations located within the state of Delaware shows that Intellivision Entertainment did create an LLC back on January 19, 2022.
Since this was first noticed by Reddit user Zeneater, some have started to speculate why Intellivision Entertainment would file in Delaware three years after unveiling the Amico and setting their home base within California. One conspiratorial belief comes from Delaware being known within the United States to be somewhat of a safe haven for corporations. According to Delaware Inc, the state has things such as beneficial tax exceptions with the IRS, Statutory Limitation on Member Personal Liability, no requirement to disclose any information about the owner of an LLC, and Asset Protection Against Creditors.
Intellivision have had a rough go lately as their upcoming Amico console has been delayed three times since it’s announcement back in 2018 at Portland Retro Game Expo. Just this month it was found they have 3 LLC’s suspended and HumaNature confirmed that the anticipated ToeJam and Earl game for the console was essentially cancelled a year ago.
